    Yahoo and Alibaba, a Difficult Seven Years

   

    The Wall Street Journal May 22 - Yahoo Inc. has finally come to a deal over its stake in Alibaba Group, signaling a resolution of an at times difficult seven year-long relationship between the two Internet companies.

   

    This transaction opens a new chapter in our relationship with Yahoo,' said Jack Ma, founder of Alibaba, in a statement. 'I look forward to working with Ross Levinsohn (interim chief executive of Yahoo) and the Yahoo team as Alibaba builds China's leading e-commerce company.'

   

    Ever since former Yahoo CEO Carol Bartz was ousted last September, Yahoo investors, battered by an unending string of bad news, have been hoping that the company can at least come to an agreement with Alibaba. Even though Yahoo's investment has been extremely lucrative - founder Jerry Yang negotiated to buy a stake Alibaba for $1 billion in 2005 - giving it access to the fast-growing Chinese Internet market, friction between Ms. Bartz and Alibaba has been trying at times for investors in both companies.

   

    According to WSJ reports, Ms. Bartz and Mr. Ma were distant and rarely spoke. Repeated attempts by Mr. Ma to buy back Yahoo's stake had run into resistance from Ms. Bartz, who said Mr. Ma merely wanted to buy shares back in anticipation of an initial public offering, which Mr. Ma denied back then.

   

    But speculation has arisen over a potential listing of Alibaba, following shareholder approval to take its Hong Kong-listed unit private. The deal with Yahoo allows Alibaba to buy as much as 10% back of its remaining 20% stake at the price of a potential IPO, and the right to buy back the additional 10% expires in December 2015, giving rise to speculation that Alibaba could list by then.

   

    Ms. Bartz also expressed dissastisfaction with how Alibaba was managing the Yahoo brand in China upon their first meeting almost three years ago. Mr. Ma shrunk operations at Yahoo's China website and stepped up efforts to focus on e-commerce arm Taobao instead.

   

    Further friction arose when Mr. Ma decided to transfer ownership of online payments unit Alipay to a separate company under his own control without board approval, sending Yahoo's share price plunging after the plan was disclosed. Eventually the conflict was resolved when Yahoo and Alibaba agreed on a structure to return some of Alipay's value to Alibaba Group.

    雅虎公司(Yahoo Inc.)终于就其所持阿里巴巴集团(Alibaba Group)股份与后者达成了交易,这标志着两家互联网公司之间长达七年的关系有了一个了断,尽管这段关系有时并不融洽。

   

    马云阿里巴巴创始人马云在一份声明中说,这笔交易在阿里巴巴和雅虎的关系中翻开了新的篇章。在阿里巴巴打造中国领先电子商务公司的同时,我期待与列文森(Ross Levinsohn, 雅虎公司临时CEO)以及雅虎团队一同合作。

   

    自去年9月雅虎前CEO巴尔茨(Carol Bartz)遭解职以来,饱受无休止负面消息冲击的雅虎投资者一直希望该公司至少能和阿里巴巴达成协议。尽管雅虎对阿里巴巴的投资所带来的利润非常可观(雅虎创始人杨致远2005年经过谈判以10亿美元的价格买下阿里巴巴的部分股权),也让雅虎有机会进入快速增长的中国互联网市场,但巴尔茨和阿里巴巴之间的摩擦有时也让两家公司的投资者感到很为难。

   

    据《华尔街日报》报道,巴尔茨和马云关系疏远,两人很少说话。此前马云多次提出回购股份,但都遭到巴尔茨的抵制。巴尔茨说,马云之所以回购股份是因为阿里巴巴想要上市。对此马云当时予以否认。

   

    但在股东批准阿里巴巴香港上市子公司私有化方案之后,市场猜测阿里巴巴集团可能会整体上市。如果阿里巴巴集团实现整体上市,那么根据双方达成的协议,阿里巴巴将以新股发行价最多回购雅虎仍然持有的20%股份的一半,即10%的股份。同时阿里巴巴有权在2015年12月前回购雅虎所持剩下的10%的股份。这令市场猜测阿里巴巴可能最迟在2015年12月前公开上市。

   

    在双方近三年前的首次会面上,巴尔茨还对阿里巴巴在中国管理雅虎品牌的做法表示出不满。马云收缩了雅虎中国网站的运营规模,转而加紧将精力集中于电子商务平台淘宝网。

   

    而当马云决定在未经董事会批准的情况下将网络支付平台支付宝的所有权转移至其控制的一家独立公司时,双方产生了进一步摩擦。此事遭披露后,雅虎股价暴跌。后来雅虎和阿里巴巴同意组建一个架构,将支付宝的部分价值返还到阿里巴巴集团,双方的冲突才得以解决。
